This Drop Shipping Supplier Agreement is made and effective by date June 01, 2020:
Definitions
Drop shipping: is a retail fulfillment method in which the online marketplace (www.adikkt.com) does not keep goods in stock but instead directly transfers End Customer orders and shipment details to either the Supplier, Retailer/Distributor/Wholesaler who then ships the goods directly to the End Customer.
End Customer: is paying Adikkt for the Products, and is the receiver of those Products.
Parties hereby agree as follows:
Adikkt promotes and sells the products offered by the Supplier on their web site located at (www.adikkt.com) and agrees to give all sales and/or orders to Supplier to fulfill orders.
What you can sell: You can sell anything related to Fashion … Clothing, Accessories, Cosmetics, Jewelry, your own designs or label, & clothing and accessories from other brands.
What you cannot sell: Any materials derived from vulnerable or endangered species – must not be used in products sold on Adikkt.
Term
Vendor (Adikkt) and Supplier agree that the term of the Agreement shall commence on for as long as it is mutually agreed between each other.
Cancellation
If Vendor or Supplier is not satisfied by this Agreement, and the results thereof, either party may terminate this Agreement by providing thirty (30) days written notice to the other party.
Vendor’s Role
Vendor sets up a Drop shipping Account with the Supplier.
The Vendor is selling the mutually agreed Products defined in this Agreement and ensures Supplier that it will not make any misleading claims or produce any misleading advertising material in respect of the Products. Vendor is the main contact person of the End Customers. Vendor with the support of the seller (if, required) will provide After Sales support.
Vendor with the support of the seller is first point of contact when any After Sales services needed to be provided to End Customer.
Each package sent to the End Customer will appear to have come from Adikkt directly. It will only play a role in case a reimbursement is applicable and Products have to be returned to Suppliers facility.
Supplier’s Role & Services
Supplier will provide product fulfillment for all sales obtained by Adikkt in regards to any images of products supplied by Supplier. Supplier is not involved in the actual transaction between the Vendor and the End Customer. Supplier is not the Agent of either the Vendor or the End Customer.
By selling on Adikkt, you agree that you will:

- Customer (Ordered) respond right away if possible, to build a strong connection with your clients.
- Offer Great Products (100% Owned and Genuine)
- All Stock MUST be physically owned, unless Pre-orders for new Season Collection, must provide a date when products will ship (no longer than a month).
- All Branded stock must be genuine.
- Custom Items or Made-to-order must be shipped/delivered with the time stated
- Strong Communication (with Adikkt and End Customer)
- Reliable Shipping (with concise Shipping confirmation) – Max: 2 Working Days
“Shipping Confirmation (is the most important message you’ll send to your customer.”- Must include: Tracking #, Name of Carrier Company, when Carrier picked-up, and Call to action – if an order hasn’t been received by a certain time, to ask the customer to contact you (By doing this it could SAVE you a Paypal Dispute or bank Chargeback).
- Returns for Refunds/Exchange
- All exchanges and returns would need to be raised within 27 days of your original order, please note all conditions here.
- Max: 2 Working Days to Refund/Exchange of returned goods (Excluding Holidays – not counted as working days)
- Depending on the nature of the return (Wrong Item(s), not as described, & faulty) you may need to refund original postage charges and additional return postage charges.

“Returns are part of doing business online”- You are required to accept returns within 27 days for Refund/Exchange, it is usually better to accept a return, to increase the chance for a repeat customer who can give a positive feedback, rather than leaving a unhappy customer who may open a Paypal dispute and leave a negative feedback.

- Unwanted items – Full item cost (It is optional to also refund the shipping fees)
- Faulty items – Full item cost plus original/returned shipping fee
- Different to description – Full item cost plus original/returned shipping fee

- You are required to accept returns within 27 days for Refund/Exchange, it is usually better to accept a return, to increase the chance for a repeat customer who can give a positive feedback, rather than leaving a unhappy customer who may open a Paypal dispute and leave a negative feedback.
- Feedback Rating 90% + must be maintained at all times.
Supplier retains all rights to all images that they have provided to Adikkt. Adikkt may use any of the images to help gain new customers and gain sales, by placing it on their social media pages, blog, homepage, portfolio, lookbook and any form of advertisement.
Billing
Payment will be directly sent to your Paypal or Iyzico business account and the agreed percentage + fees will be automatically removed. If what is mentioned above not applicable, then Adikkt’s credit card information will be provided to Supplier before this Agreement can become valid. At the end of each business day Adikkt’s credit card will be charged for the orders placed that day.
Fees and Charges
Supplier will add all details for each listing, showing photos along with, but not limited too, title, description, price, sale date + pricing, pre-orders, shipping amount and all other information.
Supplier may be required to pay the following types of fees. Please note that all fees are listed exclusive of any value-added tax (VAT) that may apply.
Transaction Fees –
When you make a sale through Adikkt.com, you will be charged a transaction fee for each listing plus the amount you charge for shipping and gift wrapping. If you sell from US or Canada, the transaction fee will not apply to sales tax, Goods and Services Tax (“GST”), or Harmonized Sales Tax (“HST”), unless you have included those charges in your listing price. If you sell from anywhere other than US and Canada, the transaction fee will apply to the listing price (which should include any applicable taxes), shipping price, and gift wrapping fee. Transaction fees are deducted from your current balance as each sale occurs, and are reflected in your payment account.
** Where Adikkt is required to collect sales tax/VAT on your behalf, Adikkt will use the category you assigned to each listing to calculate, collect, and remit the applicable taxes. You are solely responsible for ensuring that all of your listings are properly categorized, and you agree to indemnify Adikkt for any losses it incurs in connection with any mis-categorization of your listings by you.
In the event that a buyer does not make payment for the purchase of a legitimate item sold using Paypal Payments (e.g., where the buyer used a stolen or unauthorized credit card), Adikkt is not liable & responsible for any situations that might occur.

Sales and Tax
You are responsible for collecting and paying any taxes associated with using and making sales through Adikktʼs services. Adikkt will issue 1099-K forms to certain sellers in the United States to comply with IRS and state requirements.
Return policy
Supplier will provide a 27-day return policy during which an End Customer may return an item that is undamaged, unworn, with tags still attached (at their own expense). Supplier will also provide a return/refund policy for any damaged or defective items as long as any claims are placed within a few days of the item being received. Supplier will not provide any policy for any claims placed on an item after 27 days of being received.

All Products have to be returned back to Suppliers facility, we do not store any returns/exchange.
Responsibility
Supplier is responsible or liable for the provided Materials and Products provided to End Customer. If End Customers appear to have issues with provided Products, the Supplier needs to provide further assistance to deal with the issues. These are your customers so it’s important to help them with every question/concern.
Supplier guarantees Vendor that all provided goods are genuine and not fakes. Supplier ensures Adikkt that they have the authority to sell designer’s products and brand.
Supplier must handle all sales/returns/exchanges to End Customer by providing the address to ship/return/exchange the products too.
Supplier is responsible to receive returned items back to their warehouse.
Rights and Responsibilities
As a security measure, we may impose transaction limits on buyers and sellers. For example, we may impose limits relating to the value of any transaction, deposit, or adjustment, or limits relating to the cumulative value of all transactions, deposits, or adjustments during a period of time. We may also impose limits related to the number of transactions per day or other period of time. We will not be liable to a seller: (a) if we do not proceed with a transaction, deposit, or adjustment that would exceed any limit established by us, or (b) if we permit a buyer to withdraw from a transaction.
Adikkt reserves the right to decline transactions that we believe to be high risk, fraudulent, or in violation of Adikktʼs Terms of Use.
Disputes
Sellers agree to resolve any disputes directly with a buyer. In the event that a dispute is escalated to Adikktʼs Support Team, Adikkt reserves the right to issue a refund to a buyer if a transaction is found to be in violation of Adikktʼs Seller Policy and Terms of Use.
In the event that a buyer submits a chargeback, Adikkt will respond to the credit card networks on behalf of the seller involved in the transaction; the seller agrees to provide any requested information to us within five calendar days of the request. Adikkt reserves the right to recoup funds associated with buyer chargebacks.
In the event that we are unable to win the dispute towards chargeback, Adikkt is not liable & responsible for any situations that might occur.

Refunds
Refunds or adjustments paid by Adikkt to buyers for payments made through Paypal Payments may be initiated using the refund functionality in the seller’s payment account. Any such funds paid by Adikkt to cover refunds will be deducted from the sellerʼs payment account balance. If there are insufficient funds to cover the amount of the refund, the balance will be charged to the sellerʼs credit card (must be provided) or added to the sellerʼs Adikkt bill.
Information on Cardholder Charges
Please note that your bank or card provider may charge additional fees for transactions that you make on Adikkt. These fees are not charged by Adikkt and are at the discretion of your bank. Please contact your bank for further details.
Right to Modify
Adikkt retains the right to modify this Agreement at any time. If you have any questions/concerns, please contact care@adikkt.com anytime.
Severability
If any provisions or sections of this Agreement shall be deemed unlawful, void or for any reason unenforceable, then that provision or section shall be deemed severed from these terms and conditions and shall not affect the validity and enforceability of any remaining provisions.
Confidential Information
During the course of business between Vendor (Adikkt) and Supplier confidential information related to Vendor’s or Supplier’s business need to stay confidential. Such confidential information may include market prices, unique visitor’s website, inventory levels, product features and pricing and anticipated new products, Supplier sales practices and programs. Vendor agrees that the confidential information will be used solely for the purpose of conducting business with Supplier. Vendor must not disclose or distribute any confidential information to any competitor of Supplier or to any other third party without the express written consent of the Supplier.
All images of all products supplied by Supplier, including images on Supplier’s web site and its catalogue, lookbook, are the exclusive property of Supplier. The Vendor may use these images only in connection with their Trends’ters, Portfolio, Lookbook, Blog, Social Media(s) section or for the sale of Supplier’s products and only in compliance with any policies or terms stated by the Supplier. No other use or distribution is permitted, and Vendor may not use Supplier’s images in connection with the sale of products from any person or entity other than the Supplier.
Prices and product availability are subject to change, and important changes MUST be at par with prices on supplier’s site or any other websites.
The Supplier reserves the right to modify any of the terms of this Agreement with notice to the Vendor.

Effectiveness
This Agreement takes effect on June 01, 2020. This Agreement is governed by the laws of Canada. The Parties agree to resolve any disputes that may arise from this Agreement or ensuing in Montreal, Canada in English.
